Jonathan Tong focuses his practice on counseling investment advisers, private fund managers, and broker-dealers as well as hedge funds, private equity, venture capital and other private investment funds. He advises his clients through fund formation, state and federal registration issues, and a wide variety of regulatory and compliance matters involving state and federal securities laws. He represents public pension plans and other institutional investors in connection with their investments in private investment funds.
Additionally, Jonathan has extensive consulting and planning experience in a wide range of state and local tax matters, including income tax, franchise tax, sales and use tax, gross receipts tax, property tax, transfer tax, and other state and local taxes. He is also active in investments related to the newly established opportunity zones following the Tax Cuts and Jobs Act of 2017 for long-term investments and development in low-income urban and rural neighborhoods.
Prior to joining the firm, Jonathan worked at a “Big 4” accounting firm in Silicon Valley and San Francisco. In this role, Jonathan was primarily focused on state and local tax consulting and planning for various clients from many different industries, including advertising, airline, asset management, biopharmaceutical, cloud computing, computer software, e-commerce, fashion, food and beverage, manufacturing, marketplace lending, mobile payments, mobile devices, real estate, renewable energy, social networking, telecommunications and video games.
During law school, Jonathan was a student associate at the UC Hastings Startup Legal Garage and a judicial extern at the Alameda County Superior Court in California. Before law school, he worked at the Federal Reserve Board in Washington, D.C.
