Kellen Holgate is an associate in the Seattle office. His practice is focused on commercial, industrial, farmland and other natural resource real estate matters, including acquisitions, dispositions, leasing, financing, and development. He also advises agribusiness and other natural resources entities on operational matters.
Kellen has experience with all stages of real estate transactions. He represents buyers and sellers in drafting transaction documents, performing due diligence, closing and post-closing matters. Kellen also represents institutional and private lenders in financings of commercial, industrial and agricultural properties. Kellen has extensive experience evaluating title and survey matters common to farmland, timber, and other rural properties, including off-record access and water easements, license arrangements, infrastructure encroachments and the like.
Kellen advises clients regarding Western state water rights and regulation, including transactional matters (e.g., purchase, sale, and financing of permitted and certificated water rights), monetization of existing rights, as well as operational matters. Kellen has represented investors, private land owners, water users’ associations, and major irrigation districts in contractual and administrative matters, including water rights transfers, water banking and state water trust programs.
In addition to his real estate and water experience, Kellen advises clients regarding corporate governance issues common to privately held agribusiness entities. He represents those entities and their owners, investors, managers and advisors in mergers and acquisitions of agribusiness companies. He is also familiar with issues related to agricultural cooperatives and related anti-trust issues.
