Ron Birnkrant is an associate in the firm’s Orange County and Los Angeles offices and is a member of the corporate/M&A and private equity practice groups. Ron’s practice focuses primarily on mergers and acquisitions. Ron is routinely the lead associate in buy-side and sell-side engagements where he takes the lead on drafting and revising purchase agreements and ancillary documents, including disclosure schedules, escrow agreements, and limited liability company agreements. He also takes the lead on preparing clients for successful exits by negotiating investment banking engagements, advising on corporate restructurings, and recommending and implementing remedial measures, in advance of going to market, to reduce his clients’ backend exposure.
Ron has represented clients in connection with M&A transactions in a variety of industries, but, in particular, Ron has considerable experience advising on transactions in the technology, life sciences, apparel, and consumer products spaces. Also, Ron is developing a distressed M&A practice, working closely with the firm’s bankruptcy and restructuring attorneys on such matters.
In addition to Mr. Birnkrant’s M&A practice, Ron advises clients on day-to-day corporate items and serves as outside general counsel to a number of companies. In such capacity, Ron advises on corporate governance and commercial contracts, as well as serves as the intermediary between the Firm and such clients with respect to non-corporate related matters. Ron also has significant experience advising clients that are organized as limited liability companies and advising such clients in connection with, among other things, financing transactions and the issuance of equity incentives.
Ron also plays an active role in the firm’s recruiting efforts for its Southern California offices.
Prior to joining the firm, Ron served as an associate at a national law firm where he focused on complex business transactions, including mergers and acquisitions, leveraged buyouts, restructurings, recapitalizations, and financings. He also has experience representing companies in general corporate matters primarily in the technology, life sciences, and apparel industries.
