Milos Kovacevic is a counsel at the firm’s Seattle office where he is a member of the banking and asset finance practice group. Mr. Kovacevic focuses his practice on financing, leasing and sale/purchase transactions for commercial aircraft, representing airlines, financiers and major leasing companies. Mr. Kovacevic also has experience with lease-end disposition of aircraft and repossessions from distressed lessees.

Professional Background

Prior to joining K&L Gates Mr. Kovacevic served as an associate for an international business law firm where he represented major airlines and leasing companies in negotiation and drafting of documentation for portfolio acquisitions, financing and leasing arrangements for new and used aircraft. In addition he has more than 10 years of experience working for leading law firms in Frankfurt, New York and Chicago serving major clients in the banking and aviation industries.

  • Oversaw subleasing of entire AirTran Boeing 717 fleet (88 aircraft) to Delta Air Lines.
  • Negotiated first US market leases for Alafco for 13 A320 aircraft to be leased to Allegiant Air.
  • Represented Southwest Airlines in connection with leases for new and used 737NG aircraft with various lessors.
  • Represented Southwest Airlines in connection with transaction unwinds and purchases of 737-300 aircraft.
  • Acted for Macquarie Bank in connection with acquisition of GATX’s aircraft leasing business (over 90 aircraft).
  • Drafted and negotiated documentation for a variety of Korean aviation investment funds.
  • Represented AAR, Alterna and other lessors in connection with aircraft repossessions and negotiations with distressed lessees and debtors.
  • Drafted and negotiated variety of single and multi-aircraft lease arrangements for lessor clients including Alterna and Fortress.
  • Negotiated and drafted Japanese operate lease (“JOL”) documentation for three new A340-600 aircraft for Deutsche Lufthansa AG.
  • Drafted credit facilities for PK AirFinance’s financing of new ERJ-175/190 regional jet aircraft for Air Canada, jetBlue and USAirways.
  • Advised US Airways and Air Berlin management in a variety of ongoing compliance matters related to existing aircraft leases and with negotiation of new loan agreements.
  • Advised numerous lenders and lessors (including Castlelake, PK AirFinance, Fortress, Bank of America, and Macquarie) in portfolio loan and lease acquisitions.
  • Advised Lufthansa CityLine GmbH in conclusion of JOLs for a fleet of CRJ-700 regional jet aircraft.
  • Advised DZ Bank AG in connection with lease restructurings for 2 A320 aircraft during Air Canada’s bankruptcy proceedings.
  • Oversaw transfers and amendments of lease agreements for over 40 GECAS-owned aircraft in the context of the US Airways/America West merger.
  • Represented Credit Suisse as lender in a warehouse loan facility ($1.5bn) for Babcock & Brown as borrower.
  • Drafted complex tax-leveraged lease financing documentation for electricity networks ($300-$750M) for the cities of Linz, Austria, and Utrecht, Netherlands.
  •  Drafted documentation for two novel (€600M, €250M) German securitization transactions of profit participations from portfolios of closely-held medium-sized companies (“Most Innovative Deal of the Year” 2005 - Structured Finance International Magazine).
  • Represented KeyBank in a $200M financing of a 65MW wind farm (26 Nordex wind turbine generators) in Pennsylvania for Everpower Renewables Corporation.
