REPRESENTATIVE EXPERIENCE

Represented a client in the purchase of a US$97.3 million 2024 investment tax credit attributable to a solar facility.
Represented an energy company in negotiating a revolving credit facility with multiple lenders for US$150 million and in negotiating the upsizing of that facility to US$250 million.
Represented a client in a series of volleyball club acquisitions ranging from US$250,000 to US$8 million across multiple states simultaneously, drafting the asset purchase agreements, employment agreements, operating agreements to address profit-sharing arrangements, and additional ancillary documents in connection with the various structures in both simultaneous sign and close and delayed closing deal structures.
Represented a sponsor entity in solar project portfolio financing in debt, tax equity, and cash equity deals.
Represented a sponsor entity in debt and equity financing for the development of 80+ MW solar project.
Represented a solar energy company in a term conversion of a loan agreement.
Represented a sponsor entity in portfolio expansion and fundings for a portfolio comprising of 48.5 MW-DC of commercial and industrial ground-mounted, carport, and rooftop solar.
Represented a sponsor entity over several projects, each 70+ MW, as part of a portfolio spanning multiple states in debt and tax equity financing.
Represented an independent infrastructure equity fund manager in acquiring a majority equity interest in a leading developer, financier, owner, and operator of distributed generation solar projects, which developed a more than 300 MW development and operational construction project portfolio.
Represented Fortune 100 investment bank in interest rate derivative swap trades through drafting and negotiating Collateral Assignment Agreements.
Represented Fortune 100 client in a US$15 billion dollar life settlement portfolio sale, the largest in the life settlement market at the time. Worked closely with the client's deputy general counsel to assess more than 850 life insurance policy portfolios.
