Acted for Ausmincon Holdings Limited (a leading mining consultancy) on a merger by way of a court approved scheme of arrangement (which included an uncommon 'naked no vote break fee') with AFRY AB in the Federal Court of Australia, under which AFRY AB acquired 100% of the issued share capital in Ausmincon Holdings Limited.
Acted for the administrators of Toys"R"Us ANZ in the acquisition of securities by Directed Electronics under a deed of company arrangement pursuant to section 444GA of the Corporations Act.
Acted for Symal Group Limited (ASX: SYL) on its successful IPO on the ASX with a market capitalisation at the time of listing of circa AU$500 million.
Advised on secondary capital raisings in multiple jurisdictions by numerous listed and unlisted companies (by way of rights issues, convertible notes, private placements, options, warrants and share purchase plans), including Adherium Limited, Actinogen Medical Limited, OncoSil Medical Limited, Patrys Limited and Innovation Beverage Group Limited.
