REPRESENTATIVE EXPERIENCE

Real Estate Joint Ventures

Advised a global interconnection and data center company on French real estate matters relating to an 80:20 joint venture agreement with a Singapore sovereign wealth fund to develop six hyperscale data centers in Europe for more than US$1 billion. Under the agreement, the joint venture will acquire data centers in London and Paris delivering approximately 31MW of power, with future development of four additional data centers in Amsterdam, Frankfurt, and London to provide 155 megawatts of power. Our client will develop, operate, and manage the data centers.
Represented a client in a transaction involving a portfolio of five assisted-living facilities in four states (Washington, California, Georgia and Alabama). Included the sale of properties by three different JV’s, the re-acquisition of the properties through a new JV, and financing of the acquisition.
Represented one of the largest real estate developers in China in the negotiation of a joint venture for the acquisition and development of a 102-unit apartment project in Bellevue, Washington.

Represented a Chicago-based hotel owner and operator in a number of hotel acquisitions throughout the United States, including negotiating the purchase and sale agreement, financing documents, joint venture documentation, and franchise agreements and hotel management agreements related to the transactions.

Represented a multifamily property owner and operator in the acquisition of a number of apartment complexes in Georgia, North Carolina, and South Carolina. Negotiated the financing documents, joint venture documentation, and property management agreements related to the transactions.
Represented the majority stakeholder in the restructure of three related joint venture agreements with a Seattle, Washington-based real estate operator and investment firm. The joint ventures own 10 commercial properties located in Washington, Oregon, Colorado, and Utah, collectively valued in excess of US$300 million. The restructure transferred certain assets to each member and restructured the ownership percentages for the remaining assets. 
Represented a real estate development joint venture to act on all real estate aspects of the redevelopment of a Melbourne-area racecourse. Advised on planning, title and owners' corporation structuring, infrastructure arrangements, embedded network implementation, integration issues associated with the adjacent racecourse redevelopment, and all aspects of sales and leasing within the development.

Represented a client on the construction aspects of the St James' Quarter development, a mixed-use regeneration project in Edinburgh with a value of £850 million involving a joint venture partnership. The development includes 850,000 square feet of prime retail space; luxury hotel, aparthotel, and serviced apartments accommodation; premium office space; and nearly 200 residential units.
