K&L Gates Advises CLX Communications on Cross-Border Acquisition of Dialogue Group Ltd.
London – A cross-border, multi-practice team of lawyers from global law firm K&L Gates has advised CLX Communications (CLX), a leading provider of cloud-based communication solutions, on its acquisition of UK mobile messaging and security services provider Dialogue Group Ltd. for £32 million on a cash and debt-free basis.
The acquisition will help fast track CLX’s expansion into the Asia-Pacific region, bolster network expansion, and increase key security product capabilities.
Corporate and transactional partners Tom Wallace (London) and Thilo Winkeler (Berlin) led the cross-practice, three-continent K&L Gates team that advised CLX on the legal aspects of the acquisition -- including in the corporate, employment, policy & regulatory, intellectual property, real estate, finance, and tax areas -- with London corporate associates Caroline Urban and Riley Kemp also playing key roles.
Wallace stated: “We were delighted to have assisted CLX on this latest acquisition, a significant cross-border transaction that demonstrates K&L Gates’ ability to bring together the right skills to get the job done, no matter how large or complex the deal. Our deal team comprised lawyers from numerous practices across our Berlin, London, Singapore, Hong Kong, and Perth offices working collaboratively to assist CLX to achieve an important milestone in its growth strategy.”
This was the second transaction on which the K&L Gates corporate team advised CLX this year, with the firm also assisting the company on its acquisition of German technology company Xura Secure Communications GmbH in February.
K&L Gates comprises approximately 2,000 lawyers globally who practice in fully integrated offices located on five continents. The firm represents leading multinational corporations, growth and middle-market companies, capital markets participants and entrepreneurs in every major industry group as well as public sector entities, educational institutions, philanthropic organizations and individuals.
