REPRESENTATIVE EXPERIENCE

Quantum

Teamed the CEO of a data and analytics firm with leaders in the Department of the Army, Navy, Air Force, Marines, and Congress to advance robotics, materials, artificial intelligence, energy, healthcare, aerospace, and cybersecurity to meet emerging national security requirements.
Assisted a developer of satellite telecommunications technology with Defense Authorization and Appropriations promoting US commercial space launch capabilities, domestic rocket engine production, integrated satellite communications and sensors, and stronger national security space capabilities/programs.
Represented a Chicago, Illinois-based investment group and asset management firm as the investor in a US$150 million equity line investment in a leader in the development and delivery of quantum computing systems, software, and services. The investment was conducted as a public offering with the purchase and commitment shares sold from a registration statement.
Represented a quantum computing company on policy matters related to R&D funding for national security priorities.
Acted for a New South Wales, Australia-based provider of SaaS to AFSL holders regarding its acquisition of 80% of a Sydney, Australia-headquartered provider of white-labelled trading solutions. The seller was a Sydney, Australia-based integrated financial services company providing products and services to self-directed retail and wholesale clients and third-party professional service firms. Completion of the transaction was structured to occur in two tranches, with a call option granted in favor of the seller if the transaction did not complete.
Monitored and advised on EU and selected EU Member States funding opportunities related to quantum computing research and development.
Assisted a global venture capital firm in connection with a Series A investment in a leader in superconducting quantum computing.
Represented a subsidiary of a New York, New York-headquartered multinational investment bank and financial services company in connection with the client’s convertible note investment in an existing portfolio company, a Palo Alto, California-based quantum-computing-as-a-service company.
Represented a financial services provider and its associated investors in the Series C Preferred Stock financing of a developer of high-performance thin-film lithium niobate photonic integrated circuits for data center, AI, telecom, and quantum computing applications.
Represented a fund of the government agency under the Ministry of Trade and Industry of Singapore and a managed strategic investment platform in the Series C Preferred Stock financing of a developer of high-performance thin-film lithium niobate photonic integrated circuits for data center, AI, telecom, and quantum computing applications.
