Represented a financial services company in its capacities as existing notes trustee, facility agent and security agent, on a plastics manufacturing company's innovative liability management transaction, including the uptier exchange of senior unsecured notes and related amendments to the group's financing arrangements.
Advised Law Debenture, as notes trustee and security agent, and a financial services company, as note agents, on a bioenergy company's 2025 amend-and-extend transaction, implemented through an exchange offer of €630 million of senior secured notes and resulting in the extension of the group's debt maturities to 2029.
Advised a large commercial bank and financial services holding company as notes trustee, security agent on an online gambling company’s €1.0 billion high-yield notes issuance and parallel credit facilities in connection with the €3.14 billion LBO financing of an international provider of sports betting and casino games.
Advised a financial services company as notes trustee and security agent on a private investment banking firm’s £2.2 billion debt refinancing and related liability management exercise in 2024.
Represented Ocorian as Orphan SPV issuer on Panama Infrastructure Receivable Purchaser PLC's award-winning US$1.5 billion multitranche senior secured notes securitisation financing for the construction of the Fourth Bridge over the Panama Canal, comprising US$119 million Series 2024-1 senior secured notes due 2026 and US$1.4 billion Series 2024-2 senior secured notes due 2032.
Represented the facility agent on a multinational gaming entertainment company's USD term loan B financing and related matters arising from the company's €16 billion all-share business combination with OPAP.
Represented GLAS, in its capacities as notes trustee, security agent and facility agent, on the implementation of Tristan Oil's settlement of its 14-year international arbitration dispute with the Republic of Kazakhstan and the associated creditor consent process.
Advised a financial services company as notes trustee and a large financial institution as security agent on an international manufacturer's issuance of €430 million 9.000% Sustainability-Linked Senior Secured Notes due 2029.
Advised an investment banking services company as notes trustee and security agent on Q-Park’s €430 million 5.125% senior secured notes due 2029, including on a bespoke use-of-proceeds structure for the satisfaction and discharge of untendered existing notes.
Represented a multinational financial services and investment banking corporation as notes trustee and security agent on a leading global metal manufacturer’s US$2.8 billion equivalent multicurrency senior secured and senior notes offering, issued in connection with the separation of the company’s metal packaging business.
Represented an investment banking services company as notes trustee and security agent on INEOS Quattro’s €1.3 billon and US$500 million equivalent multicurrency senior secured and senior notes issuance.
Represented a financial institution as notes trustee, security agent, and facility agent on complex cross-border transactions for a distressed European industrial group, spanning a dropdown transaction, liquidity financing, and downtiering while navigating competing stakeholder and ad hoc creditor group dynamics.
