Jaylynn L. Ellington

Jaylynn Ellington is an associate in the firm’s Finance practice. Prior to this role, Jaylynn was a summer associate in the firm’s Charlotte and Washington, DC, offices. During her time as a summer associate, she drafted ancillary documents for asset and stock purchase transactions; conducted comprehensive due diligence for bolt-on acquisitions in platform company expansions; and conducted legal research and wrote memoranda regarding SEC climate disclosure regulations. Her experience also includes preparing offering documents, preparing loan agreements and assisting with mezzanine financing transactions, and conducting due diligence for debt financing.

Prior to joining the firm, Jaylynn served as an SEC Scholar at the Securities and Exchange Commission. In this role, she drafted subpoenas and document requests to obtain evidence for ongoing enforcement cases; assisted in witness interviews and depositions, preparing outlines and questions for key interviews with company executives, compliance officers, and market participants; and worked on Initial Offering Process (IOP) compliance and securities registration filings under SEC regulations.
