Louis (Jay) Kober

Jay Kober is admitted to practice in the New York. He is not currently admitted in Pennsylvania.

Jay Kober is an associate and a member of the firm’s Commercial Disputes practice group. Prior to joining the firm, Jay was an associate in the New York office of an international law firm where he focused on executive compensation and benefits matters arising in complex business transactions. Specifically, Jay worked closely on drafting relevant disclosures and implementing go-forward compensation arrangements in connection with a client’s initial public offering. Additional representative matters included both public and private company acquisitions, preparing periodic filings under the securities laws, composing executive employment agreements, analyzing restrictive covenant enforceability, ensuring that equity incentive compensation complied with the strictures of Section 409A of the Internal Revenue Code, and more.

Jay was previously a summer associate at the firm and drafted an appellate brief arguing that ‘minimization’ requirements are inapplicable when an entity desires a use variance. He also composed a comprehensive article detailing various aspects of Pennsylvania quasi-contract doctrine, and conducted research and wrote memoranda on patent subject matter eligibility, the apex doctrine, grand jury secrecy obligations, the enforcement of international arbitration agreements, and the implied covenants of further exploration and reasonable development. 

While at Swarthmore College, Jay served as the captain of the men’s basketball team, graduating ninth on the program’s all-time scoring list. Following his junior season, he was selected to both the Capital One Academic All-District First Team and the Philadelphia Inquirer Academic All-Area Team.
