Benjamin M. Augugliaro

Benjamin Augugliaro is an associate and a member of the firm’s Asset Management and Investment Funds practice group. Ben focuses his practice on advising private and registered funds and has experience drafting and reviewing registration statements, shareholder reports, and other regulatory and legal documentation related to the development and launch of new funds, fund mergers and reorganizations, and the ongoing operations of registered funds. Ben also has experience drafting and reviewing private equity fund documentation, including limited partnership agreements, subscription agreements, investor side letters, and registration and exemption from registration of fund share offerings. Additionally, Ben has experience in investment adviser regulation advising clients on securities regulatory matters, including disclosure and internal controls, conflicts of interest, and advertising and marketing. 

Prior to joining the firm, Ben served as a summer associate in the firm’s New York office. He was previously a corporate paralegal at an international law firm. During law school, Ben was a member of the Appellate Division of Brooklyn Law School’s Moot Court Honor Society, and the Symposium Chair of the Brooklyn Journal of Corporate, Financial and Commercial Law. Ben also served as a judicial intern in the Southern District of New York.
