Represented an investment firm focused on the food and agribusiness sector in connection with financing for a leveraged acquisition of a leading manufacturer of farming and irrigation equipment.
Represented Redmond, Washington-based Beatty Marketing & Sales LLP, a provider of orthopedic products, in its sale to Aspen Surgical Products Inc, a leader in surgical and patient safety disposable products that is owned by Audax Private Equity.
Represented a North Carolina-based, franchised/authorized, stocking, and value-added assembly supplier of electronics components and accessories in a limited structured bid process pursuant to which all issued and outstanding shares of our client were sold to a California-based leading distributor of aerospace fasteners.
Represented Cascade Data Labs, an IT consulting business based in Portland, Oregon, in its sale to Kin and Carta, Plc, a publicly traded company in the United Kingdom.
Assisted Edge Delta, Inc. in raising US$3 million on a US$15 million post-money valuation.
Represented a marketing consultancy in its sale.
Represented Firewood Marketing, a digital ad agency based in the San Francisco Bay area, in its sale to S4 Capital plc, a London Stock Exchange-listed company founded and led by Sir Martin Sorrell, in a merger transaction.
Represented Gemally, LLC in connection with its sale to MCG Interactive, owner of The Jewelry Network.
Represented an investment firm focused on renewable energy and clean technology opportunities, and an independent private markets investment and advisory firm, in connection with the US$298 million sale of 100% of the equity interests of an owner/operator of high-quality hydroelectric facilities throughout the United States.
Advised MRS Systems Inc., a provider of tracking and related management software for mammography and lungs based in Washington, in its sale to Volpara Health Technologies Ltd., a New Zealand sales and marketing company listed on the ASX.
Represented MSA Safety Incorporated (NYSE: MSA), a global manufacturer of safety products, in connection with its acquisition of Sierra Monitor Corporation (OTCBB: SRMC), a provider of flame and gas detection products and industrial facilities and automation products for the industrial Internet of Things. The purchase price per share of Sierra Monitor common stock was US$3.25.
Represented North Coast Electric, a distributor of electrical products in Washington, Oregon, Arizona, Idaho, and Alaska, in its sale to Sonepar Holdings. BMO Capital Markets acted as investment banker.
Represented Nubank, the world's largest independent digital bank, in its acquisition of Cognitect, Inc., a software company based in North Carolina. This was Nubank's first acquisition in the United States and only its second acquisition ever.
Represented onXmaps, a Montana-based mobile apps company that provides maps for hunters and other outdoor recreation, in its acquisition of Adventure Projects, Inc., a company providing online information on hiking and climbing routes which was formerly a property of REI.
Represented Phelps Game Calls, LLC in its sale to MeatEater, Inc., a Bozeman, Montana-based outdoor entertainment company.
Represented an asset condition-reporting app in its sale.
Represented Renewal Funds Management Company Ltd., a Canadian venture capital firm, as the lead investor of the then-newly formed entity that acquired Uncle Matt's Organic from the bankruptcy estate of Dean Foods.
Represented RWA Holding Company d/b/a RANDYS Worldwide Automotive in its sale to Tailwind Capital. RANDYS Worldwide is the leading supplier in the United States of automotive differential gears, axles, installation kits, limited slips, and drivelines. The sale marked the end of a four-year ownership of RANDYS by Linsalata Capital Partners.
Represented an investment research software company in the sale of a majority equity interest to a private equity firm.
Represented Sun Fly Brands in a Series Seed Preferred Stock financing that included members of the Alliance of Angels, Bellingham Angels, and SeaChange.
Represented Seattle, Washington-based accelerator Venture Out Startups, LLC in connection with its formation and series seed financing.
