REPRESENTATIVE EXPERIENCE

Health Care Employment

Successfully defended an Australian teaching and research public hospital in a two-week general protections trial involving claims of adverse action and bullying on the basis of industrial activity.

Represented an S&P 500 global laboratory company in relation to transactional due diligence, employment advice, and in employment litigation matters, including numerous discrimination, harassment, unfair labor practice, and wage and hour actions. Our work has stretched across the United States, China, France, and England. 
Represented the board of directors of a Fortune 100 multinational medical device, pharmaceutical, and consumer packaged goods manufacturing company in conducting an investigation in response to several shareholder demand letters and shareholder derivative suits centered on alleged excessive executive compensation.
Represented a heavy equipment client in transactional employment due diligence as well as ongoing employment counseling during an asset purchase by our client. This transaction involved our client’s purchase of assets in a deal involving two buyers purchasing assets from a foreign seller exiting the U.S. forklift distribution business. In connection with the acquisition, our client hired new employees previously employed by the seller, transferred existing internal employees from the buyer to the new operation, and established new practices and employment documents that will be used in branches throughout five Southwestern states.

Represented an Italian geriatric clinic management company in numerous labor relations lawsuits pertaining to wage and hour, dismissal, and discrimination allegations.

Conducted a full-scale employee benefit plan audit for a molecular diagnostics company to ensure compliance with all applicable legal requirements; documented high, medium, and low-level risks
Advised a long-term-care hospital regarding employment matters in the Middle East.
Drafted a wrap plan document consolidating all health and welfare plans for Form 5500 filing purposes and related wrap summary plan description for a nonprofit academic medical center.
Drafted a cafeteria plan document to enable payment for health and welfare benefits on a pre-tax basis for a nonprofit academic medical center.
Represented a global contract research organization with regard to employment agreements in Singapore.
Represented a health insurer and third-party administrator with respect to its own defined benefit pension, 401(k) and health and welfare plans, and executive compensation arrangements and compliance considerations related to the products and services offered to its customers.

Advised a U.K.-based life sciences research automation solutions provider on day-to-day employment issues.
