Kylie S. Herring

Kylie Herring is an associate and is a member of the Capital Markets practice group. She concentrates her practice on securities law matters, corporate governance, capital markets transactions, and mergers and acquisitions. 

Kylie counsels companies regarding the Securities Exchange Act reporting and disclosure, proxy solicitation, stock exchange rules, environmental, social and governance (ESG) reporting, Section 16 reporting, and corporate governance. She also has experience advising clients on internal subsidiary restructurings and other general corporate matters including reviewing and negotiating a variety of commercial contracts relating to banking, intellectual property, and commercial partnerships. She counsels both private and publicly clients across a range of industries, including consumer goods, manufacturing, healthcare, banking, and technology. 

Kylie’s previous experience as in-house counsel at a large, global financial institution, gives her a keen understanding of her client’s desire for business-focused advice and insight into how legal questions are interconnected with other business consideration and how legal advice can impact other operations and corporate functions.

Prior to joining the firm, Kylie served as vice president and counsel at a global financial institution where she managed the cross-border framework for investment banking activities, drafted and maintained country manuals outlining permissible activities with clients located in the Americas, and provided advisory services on the cross-border aspects of various investment banking activities, such as mergers and acquisitions, capital markets, and lending services. Kylie also advised on cross-border offers of cash equities, derivatives, and structured products.
