Assisted an Italian multiutility company on two legal proceedings before the Administrative Regional Court of Lazio Region for the challenge of two decisions adopted by the Gestore dei Servizi Energetici - GSE S.p.A. concerning the non-admission of certain energy efficiency projects to the Italian Energy Efficiency Certificates scheme set forth in the Ministerial Decree 28.12.2012.

In 2018, a multinational group operating in the renewable energy sector invested in a target company owning a major wind power project in Melfi, acquired from a local entrepreneur active in energy infrastructure development. The transaction included a call option in favor of the seller. Following the exercise of the option in 2021 and a subsequent civil dispute (which concluded in the first instance with the dismissal of the entrepreneur's claims), a settlement is currently being negotiated.

Assisted a global player in the renewable energy infrastructure sector in the sale, through a private auction, of a special purpose vehicle (SPV) owning a 51.44 MWp photovoltaic plant located in the Lazio Region. The activity included managing the due diligence phase, with a specific focus on legal Q&A from potential buyers, as well as the drafting and negotiation of the share purchase agreements (SPA) and related transaction documents.

Assisting a global leader in the development and management of renewable energy plants in connection with the proposed disposal of a 100% stake in a special purpose vehicle (SPV) holding authorizations and land rights for the construction and operation of a 92 MWp solar farm located in the Municipality of Canino (Lazio Region), currently at the development stage.

Assisting a global operator in the development, distribution, and service provision for renewable energy in connection with the divestiture of 100% of the share capital of an energy service company (ESCo) based in Foggia, specializing in the construction management of wind, solar and battery energy storage systems (BESS).

Assisted a leading company in the recovery and recycling of scrap metal and industrial waste in the preliminary legal assessment concerning the execution of a preliminary share purchase agreement for the acquisition of quotas in a cooperative limited liability company. The activity focused specifically on verifying the existence of any mandatory notification requirements for the transaction under the so-called 'Golden Power' regulations.

Provided judicial and extrajudicial legal assistance to five companies belonging to a leading Italian corporate group specialized in chemical analysis and environmental and safety consulting.

Assisted a global manufacturer of advanced glass and glazing systems for the architectural and automotive industries in the negotiation of the aggregation mandate agreement to participate in the Energy Release mechanism, as provided for by the Ministerial Decree 268/2024.

Assisted an Italian technology company in connection with the legal due diligence for the acquisition of the share capital of Karol Strutture Sanitarie S.r.l., an Italian healthcare company that operates in the hospital and healthcare sector.

Assisted an Italian energy company specialized in the supply and distribution of electricity and natural gas in the appeal filed before the administrative court (Tribunale Amministrativo Regionale per la Lombardia - Milano) to obtain the annulment of the Resolution no. 323/2022 of the Italian Energy Authority concerning the recalculation of balancing payments due under applicable rules governing electricity markets and dispatching of electricity. Our assistance involves all out-of-court and court activities related to this matter.
