S. Cooper Hawley

Cooper Hawley advises private equity sponsors, their portfolio companies, and strategic clients on domestic and cross-border mergers, acquisitions, divestitures, and growth equity investments. He represents clients across a wide range of industries, including software and technology, aerospace, industrials and manufacturing, and food and beverage, while maintaining a practice that is not confined to any single sector.

Earlier in his career, Cooper represented sponsors, borrowers, lenders, issuers, distressed investors, and direct lenders in a wide range of financing matters, including leveraged acquisitions, high-yield bond issuances, liability management transactions, and debt restructurings. Leveraging his prior experience, Cooper advises clients on the interplay of debt and equity in M&A and growth equity transactions, helping them optimize deal structures and navigate complex financing and operational considerations.

Prior to joining the Firm, Cooper was a corporate associate in the finance group at an international law firm headquartered in New York, where he gained experience advising sponsors, lenders, and borrowers on sophisticated corporate finance matters. He also served as a lawyer for the Republican National Committee in Washington, DC where he advised on legal and regulatory matters while gaining experience in political strategy.
