Grace Zagorskis is an associate in the firm’s Benefits and ESOPs practice group, with a primary focus on executive compensation. Her practice centers on advising employers on the design, implementation, and administration of equity and cash-based incentive arrangements, as well as employment, separation, and change in control agreements. Grace regularly counsels on compliance with applicable tax regulations and corporate governance requirements. She also has experience supporting corporate transactions, including mergers and acquisitions, asset purchases, and equity transactions, where she conducts executive compensation due diligence and drafts, reviews, and negotiates related transaction documents.
