Kaelyn Smith is admitted to practice in New York. She is not currently admitted to practice in South Carolina.

Kaelyn Smith is an associate in the firm’s Corporate practice. Kaelyn previously worked as an associate and summer law clerk at a global law firm where she represented publicly and privately held companies and private equity firms in complex mergers, acquisitions, dispositions, and restructurings. She also drafted and revised primary and ancillary transaction documents, including various forms of purchase agreements, contribution agreements, corporate governance documents, intercompany financing arrangements, and equity and incentive-related agreements, as well as post-closing documentation regarding purchase price and deal mechanics. Kaelyn has experience managing deal execution and due diligence, from creating diligence reports and disclosure schedules to leading the process across practice groups.

Kaelyn’s gained experience while assisting lawyers at a financial regulatory and compliance firm that serves investment advisers, private funds, and broker-dealers financial regulatory and compliance advisory firm serving investment advisers, private funds, and broker-dealers. Through this role she supported client compliance efforts related to SEC and FINRA registration matters by reviewing and preparing application materials and coordinating with state and federal regulatory agencies. She also conducted research on SEC, CFTC, and FINRA regulations and prepared client-facing regulatory updates.
