K&L Gates Advises Terramont Infrastructure Partners on Acquisition of Hainesport Transportation Group

Global law firm K&L Gates LLP advised Terramont Infrastructure Partners, a North American middle-market infrastructure investment firm, on its acquisition of a majority interest in Hainesport Transportation Group (HTG), a vertically integrated provider of waste collection, transfer, processing, and disposal services with strategic waste-by-rail infrastructure.

Founded in 2004 and headquartered in Hainesport, New Jersey, HTG serves commercial and industrial customers across the Mid-Atlantic and Southeast through a rail-served network that provides access to disposal capacity in markets facing increasing landfill constraints. Terramont Infrastructure Partners invests in middle-market infrastructure businesses across energy and power, transportation, environmental, and digital infrastructure sectors.

HTG owns and operates a network of rail-served transfer and disposal assets, as well as a federally chartered short-line railroad. The acquisition supports Terramont's investment strategy across essential transportation and environmental infrastructure assets. The transaction included debt financing provided by Fifth Third Bank.

The K&L Gates team was led by New York partners Josh Berick and Chris Bozydaj with further M&A support from New York associates Jane Steffens and Mollie Carney. New York partner Ed Dartley and New York associates Jamie Robinson, Brigitte Shaw, and Ben Augugliaro supported on fund structuring matters. Charlotte partner Aaron Rothman, Charlotte counsel Enia Gyan, and Dallas associate Devon Poage counseled on debt financing. New York partners Adam Tejeda and Chris Carson handled tax issues. New York partner David Naidu and Newark associate Julia McGowan advised on environmental matters.
