K&L Gates Advises Mahr Holding on Sale of Shares in Mahr EDV GmbH to Private Equity Investor
Global law firm K&L Gates LLP has advised Mahr Holding GmbH on the sale of its shares in Mahr EDV GmbH to British private equity investor Tenzing. Mahr EDV GmbH is a leading provider of managed IT and cloud services for small and medium-sized enterprises. In order to allow for a more flexible purchase price structure and ensure a sustainable commitment of the founder to the group of companies, the transaction provides for an indirect return participation of the founder in the target company via a complex dual structure, with the management of Mahr EDV GmbH also given the opportunity to participate in the companies.
The K&L Gates team that advised Mahr Holding on the transaction was led by partner Dr. Martina Ortner, supported by senior associate Richard Resch (both Munich, Corporate/M&A). Further team members were Berlin partners Dr. Klaus Schubert (Litigation), Dr. Annette Mutschler-Siebert (Antitrust), Nils Neumann (Labor), Dr. Anja Rösch (Real Estate), and Dr. Thomas Nietsch (IT/ IP), and Munich partner Michael Kreft (Tax), as well as Berlin counsel Dr. Julia Goetz (IP) and Marion Baumann (Antitrust), senior associate Dr. Gabriella Piras (Corporate), and associates Lara Wengenmayr (Labor) and Alexander Rospert (Antitrust).
